Overview

At micro1, we are at the forefront of innovation, and right now we are assembling a team of expert Private Equity and Investment Funds Attorneys. This is a fully remote, contractor position, open to legal professionals around the world. You will contribute to a significant customer project focused on analyzing and refining complex transaction documentation and various investment fund matters. Your unique legal insights will be crucial in teaching next-generation AI models to reason and perform with real-world precision.

Key Responsibilities

In this impactful role, you will apply your specialized knowledge in several key areas. Some of your responsibilities will include:

Meticulously reviewing and annotating a wide variety of transactional agreements, including Master Service Agreements (MSAs), Stock Purchase Agreements (SPAs)/Asset Purchase Agreements (APAs), Definitive Purchase Agreements (DPAs), Limited Partnership Agreements (LPAs), intricate side letters, and Non-Disclosure Agreements (NDAs). Your goal here will be to ensure absolute accuracy and provide practical insight.
Thoroughly analyzing credit agreements, diverse banking documents, SaaS and cloud technology service agreements, various lease documents, employment agreements, and critical Intellectual Property (IP) and technology licenses. You will also provide structured feedback on these.
Lending your invaluable expertise across investment funds, asset management, private equity, mergers and acquisitions (M&A), and general corporate and commercial law. A particular focus will be on the finer points of contract negotiation and drafting.
Carefully evaluating and clarifying legal language, always aiming to improve the understanding and practical application of complex contractual terms.

Requirements

We are looking for legal professionals who bring a robust background and a keen eye for detail. To thrive in this role, you should possess:

A Juris Doctor (JD) or an equivalent advanced legal degree.
Active admission to the bar in a relevant jurisdiction, demonstrating your qualification to practice law.
Significant professional experience in Private Equity and Investment Funds law. This includes a deep familiarity with complex transactional documentation.
Proven expertise in analyzing, drafting, and negotiating a broad spectrum of commercial agreements.
Exceptional analytical skills and meticulous attention to detail, crucial for precise legal review.
The ability to work independently and manage your contributions effectively within a remote setting.
