Stretchit Concept Limited is currently seeking a driven and meticulous Senior Legal Counsel to steer the organization's legal and compliance functions to new heights.
About the Role
As the Senior Legal Counsel, you will serve as a vital pillar of the organization, providing expert strategic legal advice to the Board of Directors, Management, and various business units. You will be tasked with protecting the company's interests, managing complex contracts, overseeing corporate governance, and safeguarding intellectual property assets while mitigating business risks.
Key Responsibilities
- Providing comprehensive legal support and strategic advice to the Board and business units to mitigate risk.
- Drafting, vetting, and negotiating a wide array of contracts including Service Level Agreements, Software Licensing, Partnerships, MOUs, and Confidentiality Agreements.
- Managing the company secretarial function, preparing board papers, organizing Board/Committee and Annual General Meetings, and documenting accurate minutes.
- Collaborating with external legal counsel on specialized Group matters when required.
- Ensuring robust regulatory compliance, maintaining a comprehensive Compliance Dashboard, and managing timely statutory filings.
- Overseeing the Group's Data Protection Portfolio and regional data privacy initiatives.
- Protecting the company's intellectual property rights by registering vital IP assets and source codes.
- Preparing insightful quarterly legal and compliance reports for the Board.
Performance Objectives & KPIs
Success in this role is measured by impactful, results-driven objectives:
- Achieving absolute zero penalties for regulatory non-compliance.
- Facilitating seamless corporate governance by executing at least 4 quarterly Board Meetings and 1 AGM annually, with timely circulation of board papers.
- Ensuring 100% registration and protection of all organization Intellectual Property Rights.
- Maintaining a 100% review and execution rate for all strategic partnership contracts.
- Targeting zero active litigation or court cases against the company.
Candidate Requirements
To qualify for this prestigious position, candidates must meet the following educational and professional criteria:
- Bachelor of Laws (LL.B) degree.
- Barrister at Law (B.L).
- Master of Laws (LL.M) is required.
- Professional membership with ICSAN or the Chartered Governance Institute.
