About the Opportunity: Legal Advisor – Projects & Investments
We are actively seeking an experienced, commercially astute, and meticulously detail-oriented Legal Advisor specializing in Projects & Investments. This pivotal role involves providing comprehensive legal guidance and strategic support across various critical areas, including hotel development projects, complex investment transactions, corporate governance, and ensuring robust regulatory compliance.
The successful candidate will be instrumental in safeguarding the organization’s legal interests. This will entail expertly advising on a broad spectrum of legal matters such as contracts, intricate project financing structures, strategic acquisitions, vital partnerships, and diverse investment frameworks.
We are looking for a candidate who possesses deep expertise in commercial law, corporate law, real estate law, project development, and investment advisory. Your ability to proactively identify potential legal risks and craft practical, business-focused solutions will be key to your success in this role.
Key Responsibilities
- Provide expert legal advice on all aspects of hotel development projects, investments, corporate transactions, and strategic partnerships.
- Draft, meticulously review, skilfully negotiate, and efficiently manage a wide array of legal documents, including but not limited to construction agreements, consultancy contracts, joint venture agreements, service contracts, leases, financing agreements, and comprehensive investment documentation.
- Conduct thorough legal due diligence for project acquisitions, investments, financing arrangements, and strategic transactions to mitigate risks.
- Advise executive management on legal risks associated with project development, procurement processes, financing structures, and investment activities, offering actionable insights.
- Ensure stringent compliance with all applicable laws, regulations, corporate governance requirements, and relevant industry standards.
- Support and lead negotiations with investors, financial institutions, contractors, consultants, and government agencies to secure favourable terms.
- Review land documentation, property transactions, permits, approvals, and title documents critically, especially those related to development projects.
- Manage all legal aspects pertaining to procurement processes and contract administration, ensuring smooth operations.
- Monitor changes in legislation and proactively advise management on potential legal implications affecting the business environment.
- Coordinate effectively with external solicitors, regulatory authorities, and other legal stakeholders as and when required.
- Assist in dispute resolution, claims management, arbitration, mediation, and litigation processes when necessary, protecting the organization's interests.
- Develop and diligently maintain robust legal policies, compliance frameworks, and proactive risk management procedures.
- Prepare clear and concise legal opinions, comprehensive reports, and compelling presentations for executive management.
Requirements
- Bachelor’s Degree (LL.B.) in Law from a recognized institution.
- Must be qualified to practice law and called to the Nigerian Bar.
- Minimum of 7 years’ post-call experience in corporate law, commercial law, project finance, construction law, real estate, or investment advisory.
- Demonstrated experience advising on large-scale development projects, significant investments, or complex infrastructure transactions is highly preferred.
- Strong foundational and practical knowledge of contract law, corporate governance principles, regulatory compliance, and commercial transactions.
- Proven experience in conducting meticulous legal due diligence and successful contract negotiations.
- Excellent legal drafting, negotiation, analytical, and advisory skills.
- Strong understanding of the Nigerian legal and regulatory framework relating to projects and investments.
- Proficiency in Microsoft Office Suite and various legal research tools.
