This senior leadership position serves as the principal governance adviser to both the Board of Directors and the Executive Management team. The successful candidate will provide strategic leadership across all aspects of corporate governance, board affairs, statutory compliance, corporate secretarial services, and shareholder relations for the Group and its diverse subsidiaries.
Key Responsibilities
As the Group Company Secretary & Head, Corporate Governance, your core mandate will be to foster a culture of transparency, accountability, and ethical leadership. Your day-to-day duties will include:
- Board Administration & Secretariat Services: Act as Secretary to the Board and all its standing committees. This involves coordinating meetings, developing yearly Board calendars, drafting strategic agendas, preparing comprehensive Board papers, taking minutes, tracking resolutions, and ensuring the timely execution of Board directives.
- Governance Framework Development: Design, implement, and continuously elevate the Group’s corporate governance framework, policies, charters, and standards. You will drive governance audits and regular compliance reviews across all regional and divisional subsidiaries.
- Corporate Secretarial Operations: Oversee all statutory requirements, including managing statutory registers, corporate record keeping, company registrations, the execution of legal instruments, and organizing Annual General Meetings (AGMs).
- Shareholder & Investor Relations: Manage direct communications and disclosures to shareholders, facilitate necessary approvals, and drive shareholder and investor governance initiatives.
- Regulatory Compliance & Liaison: Monitor legislative and regulatory updates to ensure strict adherence to the Companies and Allied Matters Act (CAMA), Corporate Affairs Commission (CAC) rules, and other industry-specific regulations. Maintain professional liaisons with key regulators and statutory bodies.
- Board Development: Lead continuous professional development for Board members, coordinating director inductions, board evaluations, leadership training, and succession planning.
- Ethics and Advocacy: Champion organizational integrity by overseeing compliance with the Code of Conduct, driving whistleblowing policies, leading governance investigations, and identifying/mitigating corporate governance risks.

Qualifications and Requirements
Candidates applying for this executive role should meet the following minimum qualifications:
- Education: Bachelor’s Degree in Law (LL.B), Business Administration, Corporate Governance, Finance, or a related discipline is required.
- Advanced Degrees: A Master’s Degree (LL.M, MBA, or MSc in Corporate Governance/related field) is highly preferred.
- Professional Credentials: Professional certification from recognized bodies such as ICSAN, CGP, NBA, IoD, CCGP, or an equivalent is mandatory.
- Experience: 12–15 years of relevant experience, with at least 7 years in a dedicated corporate governance, board affairs, or company secretarial leadership role. Experience within manufacturing, mining, energy, financial services, conglomerate, or multinational corporate environments is strongly preferred.
